Terms of Service

1) Agreement to Terms


These Terms of Service (“Terms”) are a legal agreement between AIEEV Inc. (“AIEEV”, “Company”, “we”, “us”, or “our”) and you, the customer or entity you represent (“you”). They govern your access to and use of the AirCloud services, websites, APIs, CLIs, consoles, mobile or desktop apps, documentation, and any related support, features, or content (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.



2) About AirCloud (Service Overview)


AirCloud is a fully managed, distributed AI inference cloud that provisions GPU and related compute/storage/network resources across geographically distributed edge nodes via AIEEV’s control plane. AirCloud may also include components such as Air Container, Air API, and Air Agent for managed model/agent execution and orchestration.


Important: Unless otherwise agreed in writing, AirCloud is optimized for inference workloads. Training or other non-inference workloads may be restricted or throttled. Contact sales for dedicated or reserved training clusters.



3) Eligibility


You must be 18 years or older and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.



4) Accounts & Access


You may need an account to use the Service. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activities under your account. We may refuse, suspend, or revoke access if we detect misuse or risks to the Service or other customers.



5) Software & APIs


AIEEV may provide client libraries, agents, or connectors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our software and APIs solely to access the Service. You must not reverse engineer, modify, or create derivative works except where permitted by law.



6) Orders, Pricing, Billing & Taxes


6.1 Usage & Plans. The Service may be billed by usage (e.g., GPU hours, egress, storage), subscriptions, credits (prepaid), or reserved resources (discounted commitments).

6.2 Payments. We currently support payment via Stripe and Payoneer (and other methods AIEEV may add). You authorize us to charge your selected method for fees, taxes, and any recurring commitments. Currency and FX fees may apply.

6.3 Credits. Prepaid credits reduce future charges; they are non-transferable and, unless we state otherwise in writing, non-refundable and expire on the date shown in your console or order form.

6.4 Reserved Resources. Discounted Reserved GPU packages or committed capacity require upfront payment or scheduled payments and are non-cancelable and non-refundable during the term, except as required by law or expressly stated in your order.

6.5 Invoices & Disputes. You must review invoices promptly. Billing disputes must be raised within 15 days of invoice date; otherwise, charges are deemed accepted.

6.6 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and similar charges, except those based on AIEEV’s net income.



7) Refunds


Except where required by law or expressly stated otherwise in an order, all sales are final and non-refundable (including unused time, credits, or reservations).



8) Acceptable Use Policy (AUP)


You agree not to:


  • Violate laws or third-party rights; upload, process, or distribute illegal content (including CSAM); or infringe IP or privacy rights.

  • Interfere with, disrupt, probe, or circumvent any Service security, metering, or access controls.

  • Introduce malware; conduct DDoS, spam, or abusive traffic; or run cryptocurrency mining or proof-of-work unless AIEEV gives prior written consent.

  • Attempt to access or inspect other tenants’ workloads, memory, files, logs, or network traffic.

  • Misrepresent usage, resell without authorization, or use the Service to build a directly competing cloud service.

  • Use automated traffic or scraping that materially degrades the Service or other users’ experience.

    AIEEV may suspend or terminate access for AUP violations, abusive behavior, or risks to platform integrity.



9) Customer Content & Data


9.1 Ownership. As between you and AIEEV, you retain all rights in your models, code, data, and outputs you upload or run in the Service (“Customer Content”).

9.2 License to Operate. You grant AIEEV a limited license to host, process, transmit, cache, store, and display Customer Content solely to provide and support the Service (including security, troubleshooting, usage metering, optimization, and billing).

9.3 Data Location. AirCloud is distributed. Workloads and transient data may be processed across multiple regions or jurisdictions. Data residency is not guaranteed unless expressly agreed in an order or DPA.

9.4 Backups. AIEEV performs routine platform backups, but you are responsible for backing up your own data and outputs.

9.5 Privacy. Personal data processing is described in AIEEV’s Privacy Policy (incorporated by reference). If you need a DPA/BAA or specific compliance terms, those require a separate, signed agreement.



10) Security


AIEEV implements industry-standard technical and organizational measures appropriate for a multi-tenant distributed cloud. You are responsible for endpoint security, key management, secret hygiene, and for configuring your workloads (e.g., network rules, encryption, IAM).



11) Service Levels & Support


Unless you have a signed SLA or order form stating otherwise, the Service is provided as-is without uptime guarantees. Support tiers, response targets, and incident communications may be specified in your plan or order.



12) Beta/Preview Features


We may offer features labeled Alpha, Beta, Preview, or Experimental. These are provided AS IS, may change or break without notice, and may be subject to additional terms or usage limits.



13) Third-Party Services & Open Source


The Service may interoperate with third-party software, models, datasets, or marketplaces (“Third-Party Services”). Their use is subject to their terms. Some Service components may include open-source software under applicable licenses. Where required, license notices will be provided.



14) Intellectual Property


Except for Customer Content, the Service and all associated IP (software, control plane, orchestration logic, documentation, design, and trademarks) are owned by or licensed to AIEEV. No rights are granted except as expressly set out in these Terms.



15) Feedback


If you provide feedback, ideas, or suggestions, you grant AIEEV a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.



16) Suspension & Termination


We may suspend or terminate your access immediately if: (a) you breach these Terms or AUP; (b) required by law or a regulator; or (c) your use risks platform integrity or other users. You may terminate at any time by closing your account, but fees already incurred or committed (including reservations) remain payable.



17) Changes to the Service or Terms


We may modify the Service or these Terms. If changes are material, we will post an update to the “Last Updated” date (and may notify you via the console or email). Continued use after changes become effective constitutes acceptance.



18) Export Control & Sanctions


You will not use or access the Service in violation of export control or sanctions laws (including those of the U.S., EU, and Republic of Korea). You represent you are not a prohibited party and will not make the Service available to such parties.



19) Compliance Notes (Sectoral)


AirCloud is not designed to natively meet sector-specific requirements (e.g., HIPAA, PCI-DSS, FISMA) unless you have a separate, signed agreement with AIEEV expressly committing to those controls.



20) Disclaimers


THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIEEV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. AIEEV DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH YOUR ENVIRONMENT, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS.



21) Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIEEV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. IN ALL EVENTS, AIEEV’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNTS PAID BY YOU TO AIEEV FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD 500. Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the fullest extent permitted.



22) Indemnification


You will defend, indemnify, and hold harmless AIEEV and its affiliates, officers, and employees against claims, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your Customer Content; (b) your use of the Service in violation of these Terms, the AUP, or law; or (c) alleged infringement or violation of rights by your models, data, or configurations.



23) Governing Law & Dispute Resolution


Governing Law. These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules.

Jurisdiction. Courts located in Seoul, Republic of Korea shall have exclusive jurisdiction for disputes not subject to arbitration.

Good-Faith Negotiations. Before filing a claim, the parties will attempt to resolve disputes in good faith for 30 days.

Arbitration (Optional by Agreement). If agreed in a separate writing, disputes shall be finally resolved by arbitration under the rules of the Korean Commercial Arbitration Board (KCAB) in Seoul, in English or Korean.



24) Electronic Communications & Signatures


You consent to receive notices and communications electronically and agree that electronic agreements, orders, and records satisfy any legal requirements for written documents.



25) Miscellaneous


These Terms, any signed order forms, SLA/DPA (if any), and policies referenced herein constitute the entire agreement between you and AIEEV regarding the Service and supersede prior agreements. If any provision is found unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing. There is no partnership, joint venture, or agency created by these Terms.
